Welcome to VegasAIx (“VegasVoice,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website (vegasaix.com), our applications (including app.vegasaix.com), and our AI voice, real-time communication, and agentic solutions (collectively, the “Services”).

VegasAIx is operated by ZAMZILLA, LLC, a Limited Liability Company registered in Clark County, Nevada, USA.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Eligibility & Account Registration

  • Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to access or use our Services.
  • Account Security: To access certain features, you may be required to register for an account. You agree to provide accurate, complete information and to keep your credentials confidential. You are responsible for all activities that occur under your account.

2. Service Description & Acceptable Use

VegasAIx provides real-time AI voice agents, communication solutions, and automated interaction platforms for local businesses, tourists, hospitality, and VIP services in Las Vegas and beyond.

You agree not to use the Services to:

  • Violate any local, state, federal, or international law or regulation.
  • Transmit or generate unlawful, threatening, abusive, defamatory, deceptive, or fraudulent content.
  • Engage in unauthorized call spoofing, spamming, robocalling, or harassment in violation of telecommunications laws (such as the TCPA).
  • Impersonate any person, entity, or automated system without authorization.
  • Interfere with, disable, or compromise the security, integrity, or performance of our platform or infrastructure.
  • Reverse engineer, decompile, or attempt to extract source code or underlying AI models without prior express authorization.

3. Voice Data, AI Inputs & Generated Outputs

  • User Content & Inputs: You retain ownership of any text, voice inputs, audio samples, or prompts (“Inputs”) you submit to the Services.
  • License to Us: By submitting Inputs, you grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and transmit such content solely to provide, maintain, and optimize the Services.
  • AI Outputs: You acknowledge that output generated by artificial intelligence models (“Outputs”) may vary and can occasionally contain inaccuracies. You are responsible for reviewing and validating any AI Outputs before relying on them for commercial, operational, or legal purposes.
  • Compliance with Recording Laws: If you use our voice solutions to record or transcribe phone calls or voice interactions, you are solely responsible for obtaining all necessary consent from all participating parties in accordance with applicable wiretapping and eavesdropping laws (including Nevada law and applicable two-party consent jurisdictions).

4. Billing & Payments

  • Fees: Certain features or service tiers require paid subscriptions or usage-based fees. All fees are stated in U.S. Dollars (USD) and are non-refundable except as required by law or as explicitly stated in a separate agreement.
  • Payment Processors: Transactions are handled through third-party payment gateways. By providing payment information, you authorize us and our processors to charge the applicable fees to your designated payment method.

5. Intellectual Property Rights

All rights, title, and interest in and to the Services, including our software, trademarks, logos, brand names (“VegasAIx”, “VegasVoice”, “ZAMZILLA”), proprietary AI integrations, and design elements, are and will remain the exclusive property of ZAMZILLA, LLC and its licensors.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZAMZILLA, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless ZAMZILLA, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your Inputs, or your violation of these Terms.

9. Governing Law & Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
  • Jurisdiction: Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in Clark County, Nevada.

10. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or prior notice, including if we believe you have violated these Terms or misused the platform.

11. Changes to Terms

We may update these Terms from time to time. When changes are made, we will update the “Last Updated” date at the top of this page. Your continued use of the Services after any such modifications constitutes your acceptance of the new Terms.
